Overview

Welcome to Prime Foods Distribution. These Terms of Service ("Terms") govern your use of our website and online store ("Services"), operated by Prime Foods Distribution and powered by Shopify.

Prime Foods Distribution is a wholesale food distributor that operates exclusively as a business-to-business (B2B) platform. Our Services are available solely to approved commercial entities, including licensed businesses, retailers, restaurants, and institutional buyers. We do not sell to individual consumers for personal or household use.

By accessing or using our Services, you confirm that you represent a legitimate business entity and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our Services.

 

Section 1 — Account Registration & Business Eligibility

1.1  B2B Access Only. Our platform is exclusively available to approved business accounts. Individuals seeking to purchase products for personal or household use are not eligible to register or purchase through this platform.

 

1.2  Account Registration. To access ordering and pricing, you must register a business account. By registering, you represent and warrant that:

•       You are authorized to act on behalf of a legally registered business or organization.

•       All information provided during registration — including business name, address, tax ID, and contact details — is accurate, current, and complete.

•       Your business holds all applicable licenses, permits, and registrations required to purchase food products in your jurisdiction.

•       You are at least 18 years of age.

 

1.3  Account Approval. Account registration does not guarantee access. All accounts are subject to review and approval by Prime Foods Distribution at our sole discretion. We reserve the right to approve, decline, or suspend any account without obligation to provide a reason.

 

1.4  Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. You may not share, transfer, or assign your account to any third party. You must notify us immediately at primefoodsdistribute@gmail.com if you suspect any unauthorized use of your account.

 

1.5  Account Suspension. We reserve the right to suspend or terminate any account that violates these Terms, provides false information, or engages in conduct we determine to be harmful to our business or other customers.

 

Section 2 — Products & Catalog

2.1  Product Availability. All products are offered subject to availability. We reserve the right to limit quantities, discontinue any product, or restrict sales to specific regions or account types at any time without notice.

 

2.2  Product Descriptions. We make every effort to accurately represent our products, including descriptions, images, weights, and specifications. However, we do not warrant that product descriptions are error-free, complete, or current. Product appearance may vary from images displayed due to packaging updates, screen settings, or batch variations.

 

2.3  Food Products Disclaimer. All food products comply with applicable food safety and labeling regulations at the time of shipment. It is your responsibility as the purchasing business to ensure that products comply with all regulations applicable in your jurisdiction, including any re-labeling, storage, or handling requirements for resale.

 

2.4  Catalog Changes. Product descriptions, specifications, and pricing are subject to change without prior notice. We reserve the right to update the catalog at any time.

 

Section 3 — Orders

3.1  Order as Offer. When you place an order, you are submitting a commercial offer to purchase. No order is binding until Prime Foods Distribution confirms acceptance via order confirmation email or written notice.

 

3.2  Order Review. We reserve the right to accept or decline any order for any reason, including but not limited to product availability, pricing errors, suspected fraudulent activity, account status, or credit terms.

 

3.3  Order Confirmation. Upon acceptance, you will receive an order confirmation to the email address on file. Please review all order details carefully. Errors must be reported to us within 24 hours of receiving the confirmation.

 

3.4  Order Modifications & Cancellations. Once an order has been accepted and processing has begun, modifications or cancellations may not be possible. Please contact us immediately at primefoodsdistribute@gmail.com if you need to make changes, and we will make reasonable efforts to accommodate your request.

 

3.5  Commercial Use. All purchases through our platform are for commercial resale, food service, or institutional use only. Orders for personal or household use are not permitted and may result in account suspension.

 

Section 4 — Pricing & Billing

4.1  Pricing. All prices listed are in US dollars and are subject to change without notice. The price applicable to your order is the price in effect at the time the order is accepted. Posted prices do not include shipping, handling, or applicable charges unless expressly stated.

 

4.2  Taxes & Tax Exemption. Prime Foods Distribution operates as a wholesale B2B distributor. Approved business accounts with a valid tax exemption certificate on file will not be charged sales tax. It is your responsibility to:

•       Provide a valid, current tax exemption certificate at the time of account registration.

•       Notify us promptly if your exemption status changes.

•       Ensure compliance with all applicable tax obligations in your jurisdiction.

 

Prime Foods Distribution reserves the right to collect applicable taxes on any order where a valid exemption certificate is not on file or has expired.

 

4.3  Payment Methods. Accepted payment methods for approved accounts include:

•       Wire Transfer

•       Business Check

•       Net 30 (approved accounts only)

•       Net 60 (approved accounts only)

 

Net terms are extended at the sole discretion of Prime Foods Distribution and are subject to credit approval. Net term privileges may be revoked at any time.

 

4.4  Late Payments. Invoices not paid by the due date may be subject to a late payment fee of [INSERT RATE]% per month on the outstanding balance. Continued non-payment may result in suspension of net term privileges and legal collection action.

 

4.5  Billing Accuracy. You agree to maintain accurate billing and payment information on your account and to promptly update this information as needed.

 

Section 5 — Shipping & Delivery

5.1  Shipping Rates. Shipping rates are calculated at checkout based on order weight, destination, and carrier rates. We reserve the right to adjust shipping charges if actual shipping costs materially differ from estimates.

 

5.2  Delivery Estimates. All delivery timeframes are estimates only and are not guaranteed. Prime Foods Distribution is not liable for delays caused by shipping carriers, weather, customs, or other circumstances beyond our control.

 

5.3  Risk of Loss. Title and risk of loss for all products pass to you upon delivery to the carrier at our facility. Once transferred to the carrier, Prime Foods Distribution is not responsible for damage, loss, or delay.

 

5.4  Receiving. It is your responsibility to inspect all deliveries upon receipt. Any visible damage or discrepancies must be noted on the delivery documentation and reported to us within 48 hours of delivery.

 

Section 6 — Returns, Refunds & Claims

6.1  Return Policy. All sales of food products are final unless the products are received in a damaged, defective, or incorrect condition. Returns are subject to our Refund Policy [LINK], which is incorporated into these Terms by reference.

 

6.2  Claims Process. To initiate a claim for damaged, defective, or incorrect products, you must:

•       Notify us at primefoodsdistribute@gmail.com within 48 hours of delivery.

•       Provide photographic evidence of the issue.

•       Retain all original packaging pending our review.

 

6.3  Non-Returnable Items. Perishable items, temperature-controlled products, and products that have been opened, used, or tampered with may not be returned.

 

Section 7 — Intellectual Property

All content on our Services, including trademarks, brand names, product images, text, graphics, and design, is the property of Prime Foods Distribution or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use any such content without our prior written consent.

Product names, brand names, and trademarks of third-party manufacturers displayed on our platform belong to their respective owners. Reference to these marks does not imply any endorsement or affiliation.

 

Section 8 — Third-Party Links & Tools

Our Services may include links to third-party websites or tools (including payment processors, shipping carriers, and accounting integrations). We are not responsible for the content, accuracy, or practices of third-party services. Your use of any third-party service is governed by that party's own terms and policies.

 

Section 9 — Relationship with Shopify

Prime Foods Distribution's online store is powered by Shopify. All sales and purchases are made directly with Prime Foods Distribution. Shopify is not a party to any transaction between you and Prime Foods Distribution and bears no responsibility for any products, services, or disputes arising from your use of our store.

 

Section 10 — Privacy Policy

12.2  No automated agent may access our Services unless it identifies itself fully in all HTTP/HTTPS requests and operates strictly within the access permissions we grant. Agents must not mimic human behavior, circumvent security measures, or complete CAPTCHAs.

 

12.3  We reserve the right to block, limit, or terminate access by any automated agent at our sole discretion.

 

Section 13 — Disclaimer of Warranties

OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT FULLY APPLY TO YOU.

 

Section 14 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRIME FOODS DISTRIBUTION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

 

Section 15 — Indemnification

You agree to defend, indemnify, and hold harmless Prime Foods Distribution, Shopify, and our respective officers, directors, employees, agents, and service providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any applicable law or third-party rights; (c) your use of our Services; or (d) any false or misleading information you provide to us.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms, non-payment, fraudulent activity, or inactivity. Upon termination, all outstanding payment obligations remain enforceable.
